4. Client Responsibilities

Clients agree to:

  • Provide complete and accurate project requirements.

  • Supply all necessary content, logos, images, and materials required for project completion.

  • Review submitted work within a reasonable timeframe.

  • Provide timely approvals and feedback.

  • Make payments according to agreed milestones.

  • Ensure all provided content complies with applicable laws and intellectual property rights.

Delays in providing required information may impact project timelines.

5. Project Proposals & Scope

Every project begins with a mutually agreed proposal or quotation outlining:

  • Project scope

  • Deliverables

  • Timeline

  • Payment schedule

  • Technology stack

  • Additional requirements

Any work requested outside the approved scope shall be treated as a Change Request and may incur additional charges.

6. Pricing & Payments

Project fees shall be communicated through official quotations or proposals.

Unless otherwise agreed:

  • An advance payment is required before work begins.

  • Remaining payments shall follow agreed milestones.

  • Final project delivery may be withheld until all outstanding payments are received.

Failure to make payments may result in suspension of services.

7. Revisions

Reasonable revisions are included based on the approved proposal.

Requests involving significant redesigns, additional functionality, or scope expansion may be billed separately.

8. Intellectual Property

Unless otherwise agreed in writing:

  • Clients retain ownership of content provided by them.

  • Codoweb Technologies retains ownership of proprietary frameworks, source libraries, internal tools, reusable code, templates, and methodologies.

  • Upon full payment, ownership of the final agreed deliverables is transferred to the client, excluding third-party software, licensed assets, or proprietary tools.

9. Third-Party Services

Projects may include third-party platforms or services such as:

  • Hostinger

  • Cloudflare

  • Google Workspace

  • OpenAI

  • Stripe

  • Razorpay

  • Cashfree

  • Meta

  • Google

  • AWS

  • DigitalOcean

  • Vercel

  • Netlify

Clients acknowledge that these services operate under their own terms and policies.

Codoweb Technologies is not responsible for outages, pricing changes, or service interruptions caused by third-party providers.

10. Confidentiality

Both parties agree to maintain confidentiality regarding proprietary business information, project details, credentials, technical documentation, and confidential communications unless disclosure is required by law.

11. Website Hosting & Domain

If Codoweb Technologies manages hosting or domains on behalf of a client:

  • Renewal fees remain the client's responsibility unless otherwise agreed.

  • Failure to renew may result in website suspension or domain expiration.

  • Hosting providers maintain independent service terms.

12. AI Services Disclaimer

Artificial Intelligence solutions developed or integrated by Codoweb Technologies generate outputs based on machine learning models.

The Company does not guarantee:

  • Accuracy of AI-generated content

  • Business outcomes

  • Legal compliance of generated content

  • Continuous availability of third-party AI providers

Clients remain responsible for reviewing AI-generated outputs before publication or business use.

13. SEO & Digital Marketing Disclaimer

While we follow industry best practices, Codoweb Technologies does not guarantee:

  • Search engine rankings

  • Website traffic

  • Lead generation

  • Sales performance

  • Advertising approval

Results depend on numerous external factors beyond our control.

14. Limitation of Liability

To the fullest extent permitted by applicable law, Codoweb Technologies and Codoweb Ventures LLP shall not be liable for:

  • Indirect damages

  • Loss of profits

  • Loss of business

  • Data loss

  • Business interruption

  • Third-party failures

  • Cyber attacks beyond reasonable control

Our total liability shall never exceed the amount paid by the client for the specific project giving rise to the claim.

15. Termination

Either party may terminate a project by written notice.

Payments for completed work remain payable.

Any completed deliverables up to the termination date may be released only after settlement of outstanding invoices.

16. Force Majeure

Codoweb Technologies shall not be liable for delays caused by events beyond reasonable control including:

  • Natural disasters

  • Internet outages

  • Government restrictions

  • Cyber attacks

  • Pandemics

  • Power failures

  • Third-party infrastructure failures

17. Governing Law

These Terms shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts located in Kolkata, West Bengal.

18. Changes to Terms

Codoweb Technologies reserves the right to modify these Terms at any time.

Updated versions become effective immediately upon publication on our website.

Continued use of our services constitutes acceptance of the revised Terms.
